Purpose of the role:
In this role you will be expected to effectively and accurately contribute to the activities involved in providing support solutions needed to enhance the business’ ability to function as a best-practice, knowledge-based and service-oriented company as well as keep abreast with the increasing demand from regulators and clients for the highest standards of corporate governance and stringent compliance with a growing list of complex regulations.
Responsibilities:
- Perform corporate secretary functions including scheduling Board meetings, providing notices and requisite materials, completing Board resolutions as required and ensuring all appropriate approvals and sign-offs obtained
- To accept service of all Notices and legal communications on behalf of companies as Registered Agents and to ensure same is forwarded/directed to the Managers of companies as required
- To maintain the corporate documents, records and registers for companies and to ensure filing of appropriate registers, documents and any required notices with the Companies Registry including filing of Annual Returns
- To liaise with the Registrar of Companies in all jurisdictions on all matters pertaining to the administration of companies and to notify Registrar of Companies (Registrars) in event of any changes to memorandum or articles of association, name of company, registered office and agent, including changes to registers of directors, officers, charges and seal register
- Provide Corporate Director and Nominee Services where necessary including performing due diligence and execution of relevant Minutes and documents where necessary and to liaise with legal counsel where necessary
Skills required:
- Bachelor's Degree in business or related discipline; law
- Experience within trust/corporate services
- Knowledge of company and/or trust administration practices/law
- Proficient in MS Office applications (Excel, PowerPoint, Word, Outlook)
- Flexible and prepared to undertake a variety of functions
- Excellent time management and organizational skills
- Ability to work under pressure and meet deadlines
- High level of accuracy and attention to detail
