Purpose of the role:
A great opportunity working on a contract basis for 12 months. You will join the Corporate Governance Services team in respect of the in-house companies and committees across Guernsey and Jersey (the client).
Responsibilities:
- Ensure all statutory and regulatory requirements are complied with
- Statutory registers for members, directors and secretary validation
- Assist with ensuring all statutory returns, filings and notifications are made at the appropriate time
- Formulate Board/Committee meeting agendas
- Preparation of Board Pack using Board Intelligence
- Board/Committee meeting attendance/Board communication
- Ad hoc Board/Committee meetings - Minute taking/drafting/circulation/approval/filing
- Drafting of Board/Committee minutes and written resolutions
Skills required:
- Previous experience of administration and Corporate Governance duties in a Funds and Company environment is essential
- Be educated to A-Level or equivalent standard as a minimum
- Ideally in the process of taking a relevant professional qualification - although not essential
- Be familiar with Articles of Incorporation, Limited Partnership Agreements and other legal documents relating to Corporate Governance
- Familiarity with Channel Islands Corporate Legislation and some UK requirements, including UK Limited Partnership Laws
