Corporate Governance Manager

Purpose of the role:

You will assist with the provision of first-class internal corporate governance support to the approximately 25 companies forming part of Governance Services across all its locations, working hand in hand with Senior Management and In-House Legal team.

Responsibilities:

  • Draft accurate and detailed minutes and circulate promptly after meetings
  • Maintain Director responsibility lists, authorised signatory lists, constitutional documents and Committee terms of reference
  • Prepare and submit annual and event-driven compliance filings and notifications with relevant company registries and regulators
  • Assist with the maintenance of existing corporate governance framework including the voluntary adoption of the UK Corporate Governance Code
  • Lead the annual in-house Board performance evaluation survey and identify and implement a more user-friendly and efficient platform to use for the next survey
  • Support on projects including entity formation and corporate restructuring

Skills required:

  • Be a qualified Lawyer who is keen to pursue a career in corporate governance and has prior experience of working in a company secretarial role (however, will consider applications from (a) qualified lawyers who do not have company secretarial experience and (b) persons with at least ten years of company secretarial experience who are not qualified lawyers)
  • Prior experience of working in a regulated professional services environment is advantageous
  • Being qualified with The Chartered Governance Institute is advantageous
  • Working knowledge of Viewpoint and Board Intelligence (or equivalent company secretarial systems and platforms) is advantageous
