Purpose of the role:
As the Company Secretary, you'll need to ensure our client's companies comply with financial and legal requirements, as well as maintaining its high standards of corporate governance. Although you shall not strictly be required to provide legal advice, you'll also need to have a thorough understanding of the laws that affect your areas of work. Flexible working hours are also possible.
Responsibilities:
- Report to the Chairman and often liaise with Board members
- Prepare agendas and papers for Board meetings, committees and annual general meetings (AGMs) and follow up on action points
- Managing the TOR for all Committees and Boards, and ensure everything outlined on the TOR’s are adhered to
- Take minutes, draft resolutions, and lodge required forms and annual returns with Registry, Jersey's registrar of companies
- Maintain Action tracker from meetings and regularly chase for updates
- Ensure policies are kept up to date and approved by the Committee
- Maintain statutory books, including registers of members, Directors and Secretaries
- Deal with correspondence, collate information and write reports, communicate decisions to relevant company stakeholders
- Monitor changes in relevant legislation and the regulatory environment and take appropriate action
Skills required:
- Hold relevant professional qualifications such as ICSA or equivalent
- Have good verbal and written communication skills
- Interpersonal skills and the ability to work well with people at all levels
- Attention to detail and a well-organised approach to work
- Have the ability to prioritise work and to work well under pressure
- Have the capability to work with numerical information, plus analytical and problem-solving skills
- A diplomatic approach and the confidence to provide support to high-profile company staff and Board members
